Please read these terms carefully before using Team Mark. By using our service, you agree to be bound by these terms.

1. Acceptance of Terms

By accessing or using Team Mark ("Service," "we," "us," or "our"), including our website at getteammark.com and browser extension, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use our Service.

These Terms constitute a legally binding agreement between you and Team Mark. Your use of the Service indicates your acceptance of these Terms and our Privacy Policy, which is incorporated by reference.

Important: Team Mark is currently in pre-launch phase (launching Q1 2026). Some features described in these Terms may not yet be available. We will update these Terms as we launch new features.

2. Description of Service

Team Mark is a collaborative link manager that helps teams organize, share, and access bookmarks, tools, and resources through a browser extension and web platform.

Key Features:

  • Browser extension for Chrome and Safari (Firefox coming soon)
  • Bookmark organization with folders, tags, and collections
  • Team collaboration and sharing features
  • Bookmark synchronization across devices
  • AI-powered recommendations and categorization
  • Team analytics and usage insights
  • Search and discovery tools

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

3. Eligibility & Account Registration

Age Requirement

You must be at least 16 years old to use Team Mark. By creating an account, you represent and warrant that:

  • You are at least 16 years of age
  • You have the legal capacity to enter into these Terms
  • You are not prohibited from using the Service under applicable law

Account Registration

To use certain features, you must create an account by providing:

  • A valid email address
  • A secure password
  • Your name and other profile information (optional)

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your account information is accurate and up-to-date

Team Accounts

If you create a team account, you represent that you have authority to bind your organization to these Terms. Team administrators are responsible for managing team members and ensuring compliance with these Terms.

4. Acceptable Use Policy

You agree NOT to use Team Mark to:

Prohibited Activities

  • Violate Laws: Engage in any illegal activity or violate any applicable laws or regulations
  • Infringe Rights: Violate intellectual property rights, privacy rights, or other rights of others
  • Harm Others: Harass, abuse, threaten, or intimidate other users
  • Spread Malware: Upload viruses, malware, or any malicious code
  • Spam: Send unsolicited communications or spam
  • Phishing: Attempt to obtain unauthorized access to accounts or systems
  • Impersonation: Impersonate any person or entity
  • False Information: Provide false or misleading information
  • System Abuse: Interfere with or disrupt the Service or servers
  • Scraping: Use automated tools to scrape or extract data without permission
  • Reverse Engineer: Attempt to reverse engineer, decompile, or disassemble the Service
  • Circumvent Security: Bypass any security measures or access restrictions

Content Restrictions

You may not bookmark or share links to content that:

  • Contains illegal material (child exploitation, terrorism, etc.)
  • Promotes violence, hate speech, or discrimination
  • Contains malware, phishing, or scams
  • Infringes copyrights or trademarks
  • Contains pornographic or sexually explicit material (in team workspaces)
  • Violates privacy or data protection laws

Commercial Use

Personal and Team plans are for internal use only. If you wish to resell, redistribute, or use Team Mark for commercial purposes beyond your organization, please contact us for an Enterprise agreement.

5. User Content & Bookmarks

Your Content

You retain ownership of all bookmarks, notes, tags, and other content you create in Team Mark ("User Content"). By using our Service, you grant us a limited license to:

  • Store and display your User Content to you and authorized team members
  • Process your User Content to provide AI features (recommendations, categorization, search)
  • Create backups for disaster recovery
  • Use aggregated, anonymized data for analytics and service improvement

License Scope

This license is:

  • Non-exclusive: You retain all rights to your content
  • Limited: Only for providing and improving the Service
  • Revocable: Ends when you delete your content or close your account
  • Worldwide: Allows us to host your data globally for performance

Your Responsibilities

You are solely responsible for:

  • The content of your bookmarks and notes
  • Ensuring you have rights to bookmark linked content
  • Compliance with copyright and intellectual property laws
  • Any consequences of sharing bookmarks with team members

Team Content

When you share bookmarks with a team, you grant team members access according to team permissions. You represent that you have authority to share such content.

Content Removal

We reserve the right to remove User Content that violates these Terms, without notice. We do not regularly monitor User Content but may review it if flagged or if we suspect violations.

6. Intellectual Property

Our Rights

Team Mark and all related software, technology, designs, trademarks, logos, and content are owned by Team Mark and protected by copyright, trademark, and other intellectual property laws.

Limited License to You

We grant you a limited, non-exclusive, non-transferable, revocable license to use Team Mark for your personal or internal business purposes, subject to these Terms.

Restrictions

You may not:

  • Copy, modify, or create derivative works of the Service
  • Sell, rent, lease, or sublicense the Service
  • Remove or modify any copyright, trademark, or proprietary notices
  • Use our trademarks without written permission
  • Frame or mirror the Service on another website

Feedback

If you provide feedback, suggestions, or ideas about Team Mark, you grant us an unlimited, irrevocable license to use such feedback without compensation or attribution.

Copyright Complaints (DMCA)

We respect intellectual property rights. If you believe your copyright has been infringed, please contact us at support@getteammark.com with:

  • Description of the copyrighted work
  • Description of where the infringing material is located
  • Your contact information
  • A statement of good faith belief
  • A statement that the information is accurate
  • Your physical or electronic signature

7. Payment Terms

Note: Payment features will be available after Team Mark launches in Q1 2026.

Pricing

Team Mark offers multiple pricing tiers:

  • Individual: Free plan with basic features
  • Team: $5/user/month with advanced collaboration features
  • Enterprise: Custom pricing with dedicated support and SSO

Billing

  • Subscriptions are billed monthly or annually in advance
  • Payments are processed securely by Stripe
  • All fees are in US Dollars (USD) unless otherwise stated
  • Prices do not include applicable taxes (VAT, sales tax, etc.)
  • You authorize us to charge your payment method on recurring basis

Price Changes

We may change our pricing with 30 days notice. Price changes will not affect your current billing cycle but will apply to subsequent renewals. You may cancel before the price change takes effect.

Taxes

You are responsible for all applicable taxes. If we are required to collect taxes, they will be added to your invoice.

Payment Failures

If a payment fails, we will attempt to charge your payment method again. If payment continues to fail:

  • Your subscription will be suspended after 7 days
  • Your account may be downgraded to the free plan
  • You will lose access to paid features
  • Your data will be preserved for 30 days

8. Subscription & Cancellation

Subscription Term

  • Monthly subscriptions renew automatically each month
  • Annual subscriptions renew automatically each year
  • You can cancel at any time from your account settings

Cancellation

You may cancel your subscription at any time by:

Cancellations take effect at the end of your current billing period. You will continue to have access until then.

Refund Policy

Monthly Plans:

  • No refunds for monthly subscriptions
  • You can use the service until the end of your billing period

Annual Plans:

  • Full refund if cancelled within 30 days of initial purchase
  • Pro-rated refund for unused months if cancelled after 30 days
  • Refunds processed within 5-10 business days

Exceptions:

  • No refunds if your account is terminated for Terms violations
  • No refunds for previous billing periods
  • Enterprise agreements have custom refund terms

Downgrades

If you downgrade from a paid plan to free, the downgrade takes effect at the end of your billing period. Paid features remain accessible until then.

Team Changes

  • Adding team members: Pro-rated charge for remainder of billing period
  • Removing team members: Credit applied to next invoice
  • Changes take effect immediately

9. Service Availability

Uptime

We strive to provide reliable service but cannot guarantee 100% uptime. We target 99.9% uptime for paid plans but are not liable for downtime or service interruptions.

Maintenance

We may perform scheduled maintenance that temporarily interrupts service. We will:

  • Provide advance notice when possible
  • Schedule maintenance during off-peak hours
  • Minimize disruption to your use

Service Modifications

We reserve the right to:

  • Modify or discontinue any features or functionality
  • Update the Service for security or performance
  • Change system requirements for browser extensions
  • Introduce new features or change existing ones

Beta Features

We may offer beta or experimental features marked as such. These features:

  • Are provided "as is" without warranties
  • May be changed or discontinued without notice
  • May not be as stable as regular features
  • Should not be relied upon for critical workflows

Browser Support

Team Mark officially supports:

  • Chrome: Latest 2 versions
  • Safari: Latest 2 versions
  • Firefox: Coming soon after launch

We may discontinue support for older browsers with notice.

10. Privacy & Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.

Key Privacy Commitments

  • We encrypt your data in transit and at rest
  • We never sell your personal data
  • We comply with GDPR and CCPA regulations
  • You can export or delete your data at any time
  • We retain data for up to 1 year after account deletion

Data Location

Your data is stored on AWS servers globally. For EU users, we implement appropriate safeguards for international data transfers.

Security

While we implement industry-standard security measures, no system is completely secure. You acknowledge that you use the Service at your own risk.

11. Termination

Termination by You

You may terminate your account at any time by:

Your data will be deleted according to our data retention policy (up to 1 year in backups).

Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms
  • You engage in fraudulent activity
  • Your account poses a security risk
  • You fail to pay fees when due
  • We are required to do so by law

Effect of Termination

Upon termination:

  • Your access to the Service is immediately revoked
  • Your subscription is cancelled (no refund for violations)
  • Your data becomes inaccessible but is retained per our data retention policy
  • Team members lose access to your shared content
  • Unpaid fees become immediately due

Data Export Before Termination

We recommend exporting your data before terminating your account. After termination, data recovery is not guaranteed.

Survival

Sections regarding intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution survive termination.

12. Disclaimers & Warranties

IMPORTANT: Please read this section carefully as it limits our liability.

AS-IS Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Uninterrupted or error-free operation
  • Security or accuracy

No Guarantees

We do not guarantee that:

  • The Service will meet your requirements
  • The Service will be uninterrupted, secure, or error-free
  • Results obtained from the Service will be accurate or reliable
  • Any errors or defects will be corrected
  • Your data will never be lost (maintain your own backups)

Third-Party Content

We are not responsible for:

  • The content of websites you bookmark
  • Third-party services integrated with Team Mark
  • User Content created by other users
  • Actions of team administrators or team members

Beta Features

Features marked as "beta" or "experimental" are provided without any warranties and may be changed or discontinued without notice.

Jurisdiction-Specific

Some jurisdictions do not allow disclaimers of implied warranties. In such jurisdictions, some of the above disclaimers may not apply to you.

13. Limitation of Liability

IMPORTANT: This section limits our liability to you.

Liability Cap

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAM MARK'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE GREATER OF:

  • $100 USD, or
  • The amount you paid to Team Mark in the 12 months before the claim arose

Excluded Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEAM MARK SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data or content
  • Loss of goodwill or reputation
  • Cost of substitute services
  • Damages arising from security breaches or unauthorized access
  • Damages caused by your negligence or violations of these Terms

Force Majeure

We are not liable for failures or delays caused by circumstances beyond our reasonable control, including:

  • Natural disasters, war, terrorism
  • Government actions or regulations
  • Internet service provider failures
  • Third-party service outages (AWS, Stripe, etc.)
  • Cyberattacks or denial-of-service attacks

Sole Remedy

Your sole and exclusive remedy for dissatisfaction with the Service is to stop using it and cancel your account.

Jurisdiction-Specific

Some jurisdictions do not allow limitation of liability for certain damages. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

14. Indemnification

You agree to indemnify, defend, and hold harmless Team Mark, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from:

  • Your use or misuse of the Service
  • Your violation of these Terms
  • Your violation of any rights of third parties
  • Your User Content or bookmarks
  • Your breach of any representations or warranties
  • Your negligence or willful misconduct
  • Access to the Service using your account credentials

Defense and Settlement

We reserve the right to assume exclusive defense and control of any matter subject to indemnification by you. You will cooperate with us in asserting any available defenses.

15. Dispute Resolution

Informal Resolution

Before filing any legal claim, you agree to contact us at support@getteammark.com to attempt to resolve the dispute informally. We will work in good faith to resolve disputes.

Governing Law

These Terms are governed by the laws of the United States and the state in which Team Mark is incorporated, without regard to conflict of law principles.

Jurisdiction and Venue

Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in [jurisdiction to be determined upon incorporation]. You consent to personal jurisdiction in these courts.

Arbitration

For disputes involving amounts less than $10,000, you agree to binding arbitration under the rules of the American Arbitration Association. The arbitration will be conducted virtually or in the county where you reside.

Class Action Waiver

YOU AGREE THAT DISPUTES MUST BE BROUGHT ON AN INDIVIDUAL BASIS ONLY, AND NOT AS A CLASS ACTION, REPRESENTATIVE ACTION, OR COLLECTIVE ACTION. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions

Either party may seek injunctive relief or protection of intellectual property rights in any court of competent jurisdiction.

EU Users

If you are a consumer in the European Union, you may have additional rights under local consumer protection laws and may bring claims in your local courts.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes in our practices, legal requirements, or Service features.

Notice of Changes

For material changes, we will:

  • Update the "Last Updated" date at the top of this page
  • Send you an email notification at least 30 days in advance
  • Display a prominent notice in the Service

Your Acceptance

  • Continued use of the Service after changes take effect means you accept the new Terms
  • If you don't agree with the changes, you must stop using the Service and cancel your account
  • You can export your data before cancellation

Minor Updates

For minor changes (typos, clarifications, formatting), we will update this page without separate notification.

17. General Provisions

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Team Mark regarding the Service.

Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

No Waiver

Our failure to enforce any right or provision of these Terms does not constitute a waiver of such right or provision.

Assignment

You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms without restriction.

No Agency

No agency, partnership, joint venture, or employment relationship is created between you and Team Mark by these Terms.

Export Compliance

The Service may be subject to US export control laws. You agree to comply with all applicable export and import laws.

Language

These Terms are written in English. Any translated versions are provided for convenience only. In case of conflicts, the English version controls.

Electronic Communications

You consent to receive communications from us electronically. Electronic communications satisfy any legal requirement that communications be in writing.
